Waynivo Terms of Service

Effective Date: August 10, 2026

These Terms of Service ("Terms") govern your access to and use of the Waynivo mobile application, website, and related services (collectively, "Waynivo") provided by Waynivo LLC ("Waynivo," "we," "our," or "us").

By downloading, installing, creating an account, accessing, or using Waynivo, you agree to these Terms. If you do not agree, do not use Waynivo.

These Terms should be read together with Waynivo's Privacy Policy and Disclaimer and Limitation of Liability, each of which is incorporated into these Terms by reference.

Who Can Use Waynivo

You must be at least 18 years old to use Waynivo. By using Waynivo, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

If you use Waynivo on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you and that entity.

Your Account

To use Waynivo, you must create an account. You are responsible for:

  • Providing accurate and current account information
  • Keeping your login credentials secure and confidential
  • All activity that occurs under your account
  • Promptly notifying us at info@waynivo.com if you believe your account has been compromised

We may suspend or terminate accounts that violate these Terms, contain inaccurate information, create risk for Waynivo or other users, or have been inactive for an extended period.

What Waynivo Does

Waynivo is a travel planning tool. It helps users build itineraries, track trip budgets, log expenses, manage tickets and confirmations, import travel booking information, connect read-only financial transaction data, and use AI-assisted planning features such as itinerary generation and Travel Agent chat.

Waynivo helps organize travel information. It does not book travel, operate transportation, sell lodging, guarantee prices or availability, provide legal, financial, medical, immigration, safety, or professional advice, or verify every third-party detail shown in the app.

AI Features and Trip Credits

Free Features

Manual trip planning, budget setup, expense tracking, ticket organization, and one free successful AI-generated itinerary are available at no charge.

Trip Credits

AI-powered features beyond the free allowance, including additional itinerary generations, Travel Agent chat, and itinerary refinements, may require trip credits.

Trip credits are applied to a specific trip. They are not shared across trips and do not expire unless otherwise stated in the app or required by applicable platform rules.

AI Output

AI-generated itineraries, suggestions, summaries, and chat responses may be incomplete, inaccurate, outdated, or unsuitable for your circumstances. You are responsible for reviewing and verifying all travel details before relying on them, including times, prices, availability, location, safety, accessibility, entry requirements, cancellation rules, and provider policies.

Waynivo may modify, limit, suspend, or discontinue AI features as needed for security, cost control, provider availability, abuse prevention, or service reliability.

Purchases

In-app purchases are processed by Google Play in accordance with Google's payment terms. By making a purchase, you agree to Google Play's billing and refund policies in addition to these Terms.

All purchases are final and non-refundable except where required by applicable law or Google Play's refund policies. Digital credits are delivered after confirmed purchase and may be consumed when you use eligible AI features.

If you believe a purchase was made in error or was unauthorized, contact us at info@waynivo.com and we will review your request.

Pricing

Current pricing is displayed in the app before purchase. Waynivo may change prices, packages, free allowances, or credit requirements at any time. Changes will not reduce credits already purchased unless required by law or platform policy.

Bank Card Connection

Waynivo offers an optional bank or card connection powered by Teller, a third-party financial data provider. This connection is read-only. Waynivo cannot move money, initiate payments, transfer funds, open accounts, close accounts, or make changes to your financial accounts.

By connecting a bank or card account, you:

  • Authorize Waynivo and Teller to access transaction data from your connected account for the purpose of populating and organizing your trip expense information
  • Agree that Teller's terms of service and privacy policy govern Teller's access to and handling of your financial data
  • Acknowledge that Waynivo displays financial data for planning and organization only
  • Acknowledge that your financial institution's records are authoritative

Waynivo may categorize, filter, or suggest matches for transactions, but those results may be incomplete or incorrect. You are responsible for reviewing expense data, budgets, and transaction matches before relying on them.

You can disconnect your bank or card account at any time from Settings. Disconnecting ends future transaction sync but does not automatically delete expense data already imported into Waynivo.

Gmail and Email Access

Waynivo offers an optional Gmail connection that may scan your Gmail account for travel booking confirmation emails and import relevant details into your itinerary, tickets, and trip workspace.

By connecting Gmail, you:

  • Authorize Waynivo to access your Gmail account for the limited purpose of identifying and importing travel-related booking information
  • Acknowledge that Google terms and policies govern your Google account and Gmail access
  • Acknowledge that imported travel details may be incomplete, inaccurate, duplicated, or outdated
  • Agree that you are responsible for verifying all booking details directly with the airline, hotel, rental provider, venue, or other source

Waynivo does not sell Gmail data or use Gmail data for advertising.

You can disconnect Gmail at any time from Settings. Disconnecting ends future Gmail sync but does not automatically delete travel details already imported into Waynivo.

Your Content

Waynivo allows you to enter, upload, import, generate, and store trip details, expenses, notes, preferences, tickets, confirmations, images, files, messages, and other content ("User Content"). You retain ownership of your User Content.

By using Waynivo, you grant Waynivo LLC a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, reproduce, and modify your User Content solely as needed to provide, maintain, protect, troubleshoot, and improve Waynivo.

You are responsible for ensuring that your User Content is accurate, lawful, and does not violate the rights of others.

Do not upload highly sensitive information unless it is necessary for your own trip planning. Waynivo is not intended to store passports, Social Security numbers, medical records, or other sensitive identity, health, or legal documents.

Things You May Not Do

You agree not to:

  • Use Waynivo for any unlawful, harmful, fraudulent, abusive, or deceptive purpose
  • Violate any applicable law, regulation, third-party right, or travel provider rule
  • Attempt to access, tamper with, disrupt, or damage Waynivo's systems, servers, databases, networks, or security controls
  • Reverse engineer, decompile, disassemble, or attempt to extract Waynivo's source code, models, prompts, or non-public systems
  • Scrape, crawl, copy, or use automated means to access Waynivo except as permitted by us in writing
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Upload or transmit spam, malware, harmful code, or deceptive content
  • Resell, sublicense, rent, lease, or commercially exploit Waynivo without written permission
  • Circumvent usage limits, payment systems, access controls, security features, or credit requirements
  • Use Waynivo to build or train a competing product or service
  • Interfere with another user's use of Waynivo

Intellectual Property

Waynivo and its content, including the app design, software, features, branding, trademarks, logos, text, graphics, and related materials, are owned by or licensed to Waynivo LLC and are protected by intellectual property laws.

These Terms do not grant you any right to use Waynivo's name, logo, trademarks, or other brand elements without our written permission.

AI-generated content produced by Waynivo in response to your inputs is provided for your personal travel planning use. Waynivo makes no representation about the ownership, originality, availability, or intellectual property status of AI-generated outputs.

Privacy

Our Privacy Policy describes how we collect, use, store, disclose, and delete information. It is incorporated into these Terms by reference. By using Waynivo, you agree to our Privacy Policy.

Third-Party Services

Waynivo integrates with or relies on third-party services, which may include Google Play, Google, Gmail, Google Maps, Teller, Supabase, RevenueCat, OpenAI, Pexels, and other infrastructure, data, or service providers.

Your use of third-party services may be governed by those providers' own terms, privacy policies, and fees. Waynivo is not responsible for third-party services, including their availability, accuracy, security, decisions, outages, pricing, policies, or changes.

Third-party data shown in Waynivo, including maps, routes, venue details, weather, prices, booking information, financial transactions, and AI-generated content, may be incomplete, inaccurate, delayed, or unavailable.

Service Availability and Changes

Waynivo may change, suspend, limit, or discontinue any part of the service at any time, including features, integrations, pricing, free allowances, credit rules, or supported platforms.

We do not guarantee that Waynivo will be uninterrupted, error-free, secure, or available at any particular time or location. Some features require internet access, third-party provider availability, valid credentials, and compatible devices.

Disclaimers and Limitation of Liability

Waynivo's Disclaimer and Limitation of Liability, including its warranty disclaimers, AI content disclaimer, travel risk disclaimer, financial information disclaimer, third-party data disclaimer, and assumption of travel risk, applies in full to these Terms and is incorporated by reference.

TO THE FULLEST EXTENT PERMITTED BY LAW, WAYNIVO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, OR SECURITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, WAYNIVO LLC AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST BOOKINGS, MISSED TRAVEL, PERSONAL INJURY, PROPERTY DAMAGE, FINANCIAL LOSS, BUSINESS INTERRUPTION, OR COSTS OF SUBSTITUTE SERVICES ARISING OUT OF OR RELATED TO YOUR USE OF WAYNIVO.

TO THE FULLEST EXTENT PERMITTED BY LAW, WAYNIVO LLC'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF WAYNIVO WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID WAYNIVO IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain warranty disclaimers or liability limitations, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Waynivo LLC and its officers, employees, contractors, agents, affiliates, and service providers from and against any claims, losses, damages, liabilities, costs, and expenses, including reasonable legal fees, arising from or related to:

  • Your use or misuse of Waynivo
  • Your violation of these Terms
  • Your User Content
  • Your violation of any law, regulation, third-party right, travel provider rule, or platform policy
  • Your reliance on travel, financial, AI-generated, or third-party information without independent verification

Term and Termination

These Terms remain in effect for as long as you use Waynivo.

You may stop using Waynivo and delete your account at any time from Settings > Account.

We may suspend or terminate your access to Waynivo at any time, with or without notice, if we believe you violated these Terms, created risk for Waynivo or others, used the service abusively or unlawfully, failed to pay required charges, or if we discontinue the service.

On termination, your right to use Waynivo ends. Provisions that by their nature should survive termination will survive, including intellectual property, privacy-related obligations, disclaimers, limitation of liability, indemnification, dispute resolution, and any payment obligations incurred before termination.

Data Deletion

You may request deletion of your account and associated data as described in our Privacy Policy. Some information may be retained where required or permitted by law, including for security, fraud prevention, legal compliance, tax, accounting, dispute resolution, backup, or legitimate business purposes.

Deleting your account or disconnecting an integration does not automatically delete records held by third-party providers, such as Google, Teller, Google Play, or your financial institution.

Changes to These Terms

We may update these Terms from time to time. When we do, we will update the Effective Date at the top of this page.

For material changes, we may notify you through the app, by email, or by other reasonable means. Your continued use of Waynivo after changes take effect constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, stop using Waynivo and delete your account.

Governing Law and Disputes

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-law principles.

Before filing a claim, you agree to first contact us at info@waynivo.com and attempt to resolve the dispute informally.

Any dispute arising out of or related to these Terms or your use of Waynivo that cannot be resolved informally will be resolved through binding individual arbitration under the rules of the American Arbitration Association, conducted in Salt Lake County, Utah, unless applicable law requires otherwise.

You and Waynivo waive any right to participate in a class action lawsuit, class arbitration, private attorney general action, or other representative proceeding to the fullest extent permitted by law.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights, confidential information, security, or to prevent unauthorized access or misuse of Waynivo.

App Store Terms

If you download Waynivo through Google Play or another app store, your use of the app may also be subject to that store's terms and policies. If these Terms conflict with applicable app store terms, the app store terms apply solely to the extent required by that store.

Google Play is not responsible for providing support or maintenance for Waynivo.

Nothing Here Limits Non-Waivable Rights

Nothing in these Terms limits rights, remedies, warranties, or liabilities that cannot be waived or excluded under applicable law, including rights that may apply to fraud, willful misconduct, gross negligence, personal injury, or other liability that cannot legally be excluded.
